Market Cap vs Fully Diluted Valuation: Avoiding the FDV Trap in Crypto

Why circulating market cap can understate a token's true size, and how to use fully diluted valuation to spot future sell pressure before it hits price.

Two tokens can show the same market cap on a tracking site and still carry completely different risk. The number most investors glance at first, circulating market cap, only counts tokens already in the market. Fully diluted valuation counts every token that will ever exist, and the gap between the two is where a lot of quiet risk hides until it suddenly does not.

What Circulating Market Cap Leaves Out

Circulating market cap multiplies the current price by the tokens currently in public hands. It ignores tokens still locked with the team, early investors, foundations, or staking and ecosystem programs that have not yet been released into the open market.

A token trading at a low circulating market cap can look cheap purely because most of its supply has not been unlocked yet, not because the market is genuinely undervaluing the project relative to its eventual total size.

This matters because most price-tracking sites and exchange listings rank and filter tokens by circulating market cap alone. A project can appear far smaller, and therefore far cheaper, than it will actually be once its full supply schedule plays out over the following months.

New token launches are particularly prone to this distortion, since a project can list with only 5 or 10 percent of total supply circulating, making the headline market cap look tiny compared to what it will become once vesting schedules run their course.

A token can also increase circulating supply through ongoing inflation, such as staking rewards or block emissions, which is a separate mechanism from vesting unlocks but produces a similar effect: circulating supply keeps growing even after the initial team and investor lockups have fully expired.

What Fully Diluted Valuation Actually Represents

Fully diluted valuation, or FDV, multiplies the current price by the maximum total supply the token will ever reach. It represents what the project would be worth at today's price if every locked and unminted token were already in circulation today.

FDV is not a prediction that price will stay flat as supply unlocks, since price typically adjusts as new supply enters the market. It is instead a snapshot of how much of the eventual dilution the current price already has to justify.

Comparing FDV to realistic revenue or usage metrics, rather than to circulating market cap alone, gives a more honest sense of whether a token's full valuation is grounded in actual adoption or is being carried mostly by a thin, easily moved circulating supply.

Some tokens have no hard maximum supply at all, in which case FDV is typically estimated using a fixed future date or left undefined entirely. Treat a missing or estimated FDV as a signal to dig into the emission schedule directly rather than skipping the check altogether.

For these open-ended supply tokens, the more useful comparison is often the annual inflation rate applied to circulating supply, since a fixed FDV snapshot cannot fully capture a design where new tokens are continuously minted rather than released from a fixed, predetermined total.

A high but stable inflation rate paired with strong, growing demand can still support a rising price, in the same way a growing company can support new share issuance. The warning sign is inflation outpacing demand growth, not inflation existing at all.

Why a Wide Gap Between Market Cap and FDV Is a Warning Sign

When FDV sits far above circulating market cap, most of the token supply has not entered the market yet. Every future unlock adds new sellable supply, and unless demand grows to absorb it, that added supply tends to push price down over time.

  • FDV roughly equal to market cap: most supply already circulating, lower dilution risk ahead.
  • FDV two to five times market cap: meaningful future unlocks still need to be absorbed.
  • FDV more than ten times market cap: heavy dilution risk, requires strong and growing demand to offset.

None of these bands are an automatic buy or sell signal on their own, but they set the baseline expectation for how much future selling pressure a token realistically has to grow through before the dilution overhang clears.

Why Exchange Listings Amplify the FDV Trap

Tokens with a low circulating supply and a high FDV are structurally easy to list at an inflated headline valuation, since exchanges and market trackers typically rank tokens by circulating market cap alone, and a small circulating supply keeps that number looking modest.

This creates an incentive for some projects to intentionally release a small initial float, generating outsized early price moves on limited liquidity, before the bulk of team and investor allocations unlock and begin adding steady sell pressure over the following year.

Retail buyers who enter shortly after listing, focused only on the attractive-looking circulating market cap, are often the ones absorbing that later unlock supply at declining prices without realizing how much dilution was always baked into the token's design.

Reading the Token Unlock Schedule

Every serious project publishes a vesting and unlock schedule showing when team, investor, and ecosystem tokens become liquid. Cliff unlocks, where a large batch of tokens releases all at once after a lockup period, tend to create concentrated sell pressure around a specific known date.

Linear unlocks that release small amounts continuously are generally easier for the market to absorb than large cliff events, since the added supply spreads out over time rather than arriving all at once and overwhelming order books.

Marking known unlock dates on a calendar before entering a position is a simple habit that prevents an unpleasant surprise. A large cliff unlock landing shortly after entry can overwhelm otherwise reasonable demand for a token regardless of how strong the underlying project fundamentals are.

Who Holds the Locked Supply Matters Too

Not all future supply carries the same risk. Tokens vesting to a long-term team with multi-year lockups tend to sell more gradually than tokens held by early venture investors, who often sell aggressively the moment their lockup expires to realize returns on an early entry price.

Checking the investor list and their typical holding behavior in past projects gives a rough sense of how much unlock supply is likely to hit the market immediately versus trickle out gradually over several quarters.

Public unlock trackers and a project's own tokenomics documentation make this information available before investing, not after. Reviewing it takes a few minutes and reveals concentration risk that a price chart alone will never show.

Using FDV Correctly When Comparing Tokens

FDV becomes most useful when comparing two competing tokens in the same sector. A token with a similar circulating market cap but a much lower FDV has less dilution ahead of it and is, all else equal, the structurally cleaner position to hold.

Avoid comparing FDV across sectors with very different supply models, since a fixed-supply asset and a high-inflation governance token are not directly comparable even if their FDV figures happen to land close together in absolute terms.

A token with a lower FDV but weaker fundamentals is not automatically the better buy either. FDV is one input among several, useful for ranking dilution risk within a peer group, not a standalone scorecard that replaces a full fundamental review of the project.

The goal is not to avoid every token with a wide FDV gap outright, since many legitimate projects launch with most supply still locked. The goal is to enter with a clear-eyed view of the dilution ahead rather than being surprised by it later.

A Practical Checklist Before Buying a New Token

Before allocating to a token, especially one that recently launched, run through its supply structure with the same discipline used for checking a stock's balance sheet before buying shares.

  • Compare circulating market cap to FDV to gauge total dilution risk.
  • Check the unlock schedule for upcoming cliff events.
  • Identify who holds the locked supply and their likely selling behavior.
  • Compare FDV against genuinely similar tokens in the same sector rather than the market as a whole.
  • For inflationary tokens with no fixed cap, check the annual issuance rate against circulating supply instead.

This checklist takes a few extra minutes compared to just glancing at a market cap ranking, and it is exactly the extra step that separates informed token buyers from the ones surprised by an unlock-driven price decline months later.
